By accessing or using the BayouBot website (bayoubot.live) or any services provided by BayouBot ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our website or services. These Terms apply to all visitors, clients, and others who access or use our services.

BayouBot provides the following services to small businesses, primarily in Houston, Texas:

• AI-powered chatbot design, development, and deployment
• Professional website design and development
• Lead generation and automation systems
• AI-driven outreach and email campaign management (SaaS platform)
• Ongoing maintenance and support as described in individual service agreements

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate service agreement or order form provided to you at the time of purchase.

You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of yourself or your business to use our services. By using our services, you represent and warrant that you meet these requirements.

By using our services, you agree to:

• Provide accurate, current, and complete information when requested
• Keep your account credentials confidential and notify us immediately of any unauthorized access
• Use our services only for lawful purposes and in compliance with all applicable laws
• Not attempt to reverse-engineer, copy, or resell any part of our platform or deliverables without written permission
• Not use our outreach platform to send spam, unsolicited commercial email, or messages that violate CAN-SPAM, TCPA, or other applicable laws
• Ensure that any data you upload to our platform (including contact lists) was obtained lawfully and with appropriate consent

You may not use our services to:

• Engage in any activity that is illegal, fraudulent, or harmful to others
• Transmit malware, viruses, or any malicious code
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Harass, threaten, or intimidate any person
• Attempt to gain unauthorized access to our systems, databases, or the accounts of other users
• Use automated scripts to scrape, crawl, or extract content from our website without written permission
• Violate any third-party platform terms (including Microsoft, Stripe, or Google) through use of our services

All content, branding, code, designs, and materials on the BayouBot website and platform — including but not limited to text, graphics, logos, and software — are the property of BayouBot and are protected by applicable copyright, trademark, and other intellectual property laws.

Upon full payment for a custom website or chatbot deliverable, you receive a non-exclusive, non-transferable license to use the deliverable for your business. BayouBot retains the right to display the work in its portfolio unless you request otherwise in writing.

Our SaaS platform code, AI models, automation logic, and proprietary tooling remain exclusively the property of BayouBot at all times.

Payments are processed securely via Stripe. By providing payment information, you authorize BayouBot to charge the applicable fees as described in your service agreement.

Setup fees are non-refundable once work has commenced. Monthly SaaS subscriptions may be cancelled at any time; access continues through the end of the billing period, and no prorated refunds are issued. Custom project refund terms are specified in individual service agreements.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. RESULTS FROM AI-GENERATED CONTENT, OUTREACH CAMPAIGNS, OR CHATBOT INTERACTIONS ARE NOT GUARANTEED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BAYOUBOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless BayouBot and its officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, or your violation of any third-party rights.

Our services integrate with third-party platforms including Microsoft 365, Stripe, and others. Use of those services is governed by their respective terms of service. We are not responsible for the availability, accuracy, or practices of any third-party service.

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for conduct that we determine in our sole discretion violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use our services immediately ceases.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page and revise the "Last updated" date. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will provide notice to active SaaS clients via email.
